Mr. Hayward has been a partner in the firm since 1978. He has devoted his practice to international transactions for more than three decades.  After beginning his legal career in New York City, Mr. Hayward spent seven years practicing in Brussels, Belgium, before transferring to the Twin Cities in 1979.
 
Mr. Hayward’s international practice has several facets. First, he counsels U.S. companies doing business abroad. In this role, he deals with international sales, distribution, and licensing agreements, the legal and tax structuring of investment and joint ventures in many different countries, and the U.S. regulation of outbound trade and investment. Second, he advises foreign companies investing and doing business in the United States. Third, he has served as an advisor in connection with more than 100 cases of international litigation in both the United States and various countries abroad. Finally, Mr. Hayward also deals with issues of U.S. immigration law, focusing particularly on employment-based temporary and permanent visas.
 
In the course of his career, Mr. Hayward has worked with a wide variety of businesses. He has spent significant time working with the computer and software industry and the medical device industry, as well as the international construction and financial sectors, among others. He has assisted with legal transactions or other issues in more than 40 countries, with a primary focus on Western Europe, but ranging through the Middle East and Russia to the Far East, and in the Americas from Canada and Mexico south to Argentina.
 
Mr. Hayward attended the University of Aix-Marseille in France and received a bachelor of arts degree in French literature from Stanford University. After serving in Germany as a captain in U.S. Army Intelligence, he received his juris doctor degree, magna cum laude, from Harvard, where he was an editor of the Harvard Law Review. He is Chair of the Minnesota District Export Council, National Secretary and past Chapter President, of the French-American Chamber of Commerce, Director of the German-American Chamber of Commerce (Minnesota  Chapter), Director of the Alliance Française (Minnesota), Councillor and former Chair of the International Business Law Section of the Minnesota State Bar Association, and former President of Twin Cities Foreign Trade Zone, Inc.  In addition, Mr. Hayward is a frequent speaker on a range of topics relating to international trade, investment, and dispute resolution. He has varying degrees of fluency in French, Spanish and German, and reading ability in Dutch, Italian and Portuguese.
